Jonathan Wood
Jonathan Wood is a business law expert, specialising in mergers and acquisitions; corporate governance; international trade, investment and joint ventures; commercial contracts; media and entertainment; business structures and shareholder arrangements. Jonathan advises on business acquisitions in a variety of industry sectors and in both New Zealand and overseas; In recent years Jonathan has advised on acquisitions in New Zealand, Australia, Singapore, Malaysia, Hong Kong and Fiji as well as joint ventures in Singapore, Thailand, Malaysia, China and Australia. Jonathan regularly advises on corporate governance issues and shareholder relationships and has over 20 years experience as either an executive or non-executive director of both New Zealand and overseas companies. He has presented a seminar for the Auckland District Law Society on shareholder agreements and related corporate governance issues. Jonathan has regularly advised on international trade transactions including contract manufacturing, distribution, agency, business set-up and e-commerce in various jurisdictions including New Zealand, Australia, USA, Malaysia, China, Thailand, Hong Kong, Singapore, Japan, Middle East and the UK. He has presented multiple seminars to exporters on international trade issues and has authored a chapter on international market entry in the New Zealand Export and Trade Handbook for many years. He authored the Auckland District Law Society distribution agreement precedent and presented a webinar for lawyers on the agreement and other issues relevant to distribution agreements.
Kate Telford
Prior to joining Hesketh Henry, Kate practised in large law firms in both Australia and the United Kingdom. Kate’s principal area of practice is general corporate and commercial law. Kate regularly advises clients on a range of commercial agreements including joint venture and shareholder agreements, manufacturing agreements, distribution agreements, sponsorship agreements and terms of trade. She also assists corporate clients in relation to compliance with a wide range of legislative matters, including the Companies Act 1993, Fair Trading Act 1986, Consumer Guarantees Act 1993, Takeovers Code 1993 and Overseas Investment Act 2005. In addition, Kate has extensive experience advising clients in relation to acquiring, disposing of and investing in businesses.
Kate has been a recommended lawyer in The Legal 500 Asia Pacific Directory for the last seven years (2016 to 2022) and has been noted as being an “M&A specialist” and “sought after for commercial law”. Kate is a director of Project Employ Limited, a charitable company that helps young people with disabilities learn the skills they need to gain meaningful employment in the community. Hesketh Henry provides pro bono legal assistance to Project Employ.
Julika Wahlmann-Smith
Julika is a Senior Associate in our Business Advice team. Julika has advised on a wide range of corporate and commercial law issues, including reviewing and advising on commercial contracts, terms of trade and distribution agreements, mergers and acquisitions, foreign investment, advertising campaigns, consumer law, and intellectual property rights. Julika regularly contributes to publications of the Global Advertising Lawyers Alliance where the firm is the New Zealand member. Julika is fluent in German.
Keegan Toft
Keegan is an experienced transaction lawyer who advises start-ups, small to medium enterprises, listed entities, private equity and government organisations on a wide range of corporate and commercial matters. He has a particular focus on mergers and acquisitions (both domestic and international), shareholders’ agreements, joint ventures, corporate governance, business restructures, capital markets and takeovers. Having worked in the United Kingdom and New Zealand, Keegan has experience working on multi-jurisdictional issues and is comfortable project managing large matters.
Keegan has a particular interest in start-ups and small to medium enterprises in New Zealand and delivering high quality, commercially focused practicable solutions.
Bret Gustafson
Bret Gustafson has practised as a court lawyer for the last 27 years. He was a litigation partner at Kensington Swan from 2000 to 2009. In April 2009 he moved from practice as a barrister and solicitor to practice as a barrister sole and has chambers at Level 31 of the Vero Centre in Shortland Street Auckland. Bret has appeared as senior counsel in the Privy Council and in two Supreme Court cases, winning all three. In the last two years Bret has been instructed on 4 appeals to the Court of Appeal and has won 3 of those appeals. Bret regularly advises on commercial disputes including shareholder disputes, PPSA issues and banking and insolvency law. He appears regularly in mediations, arbitrations and in the High Court on injunction applications and trials.
